Welcome to Jonysoft (“Jonysoft,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the Jonysoft website, platforms, software, services, and any related content (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Scope of Services

Jonysoft provides technology services including, but not limited to:

• Software development and integration
• AI-powered automation, virtual assistants, and workflow orchestration
• Website development and hosting coordination 
• CRM, API, and third-party platform integrations 
• Data processing, document organization, and automation tools
   

Specific services, pricing, timelines, and deliverables may be governed by separate written agreements. In case of conflict, the written service agreement controls.

2. No Legal, Financial, or Professional Advice

Jonysoft does not provide legal, tax, accounting, medical, or financial advice.

Any automation, AI output, or system configuration is provided “as is” and for informational or operational purposes only.

You are solely responsible for:

• Verifying accuracy of outputs 
• Ensuring legal and regulatory compliance 
• Making final business, legal, or financial decisions
   

3. Third-Party Platforms & Tools

Our Services may integrate with or rely on third-party tools (e.g., hosting providers, AI platforms, payment processors, CRMs, form builders, telecom providers).

Jonysoft:

• Does not control third-party platforms 
• Is not responsible for their outages, errors, data handling, or security practices 
• Makes no warranties regarding third-party services
   

Your use of third-party services is subject to their own terms and privacy policies.

4. User Responsibilities

You agree that you will:

• Provide accurate and lawful information 
• Maintain confidentiality of your credentials 
• Use the Services only for lawful purposes 
• Not attempt to reverse engineer, disrupt, or misuse the Services
   

You are responsible for all activity conducted under your account.

5. Data Accuracy & Client Content

You retain ownership of all data, documents, and content you provide (“Client Content”).

You represent and warrant that:

• You have the right to submit such content 
• The content does not violate any law or third-party rights
   

Jonysoft is not responsible for inaccuracies, omissions, or errors in Client Content.

6. Intellectual Property

All Jonysoft software, code, designs, workflows, branding, documentation, and content are the exclusive property of Jonysoft, unless otherwise stated.

You may not:

• Copy, resell, sublicense, or redistribute our materials 
• Use our intellectual property outside the scope of the agreed Services
   

7. Payment & Fees

Fees, billing cycles, refunds, and payment terms are governed by:

• The applicable service agreement, proposal, or invoice 

Unless otherwise stated:

• Fees are non-refundable 
• Late payments may result in service suspension
   

8. Service Availability & Modifications

We may modify, suspend, or discontinue any part of the Services at any time without liability.

We do not guarantee uninterrupted or error-free operation.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JONYSOFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY 
• FITNESS FOR A PARTICULAR PURPOSE 
• NON-INFRINGEMENT 
• ACCURACY OR RELIABILITY OF OUTPUTS
   

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

JONYSOFT SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES 
• LOSS OF PROFITS, DATA, OR BUSINESS 
• ERRORS CAUSED BY THIRD-PARTY SYSTEMS OR USER INPUT
   

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO JONYSOFT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Jonysoft from any claims, damages, liabilities, or expenses arising from:

• Your use of the Services 
• Your data or content 
• Your violation of these Terms or any law
   

12. Termination

We may suspend or terminate access to the Services at any time for violation of these Terms or applicable law.

Termination does not relieve you of payment obligations or accrued liabilities.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal action shall be brought exclusively in courts located in Florida.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
